Terms of Use

1. Acceptance of Terms
By creating an account or using the RogueAlpha platform at roguealpha.ai or app.roguealpha.ai (the “Platform”), you agree to these Terms of Use. If you do not agree, do not use the Platform.
2. What RogueAlpha Is (and Is Not)
RogueAlpha is algorithmic trading software. It scans publicly available market data and news, generates trade signals using AI-based analysis, and can automatically execute those signals on your connected brokerage account.
RogueAlpha is not a registered investment adviser, broker-dealer, financial planner, or fiduciary. Nothing on the Platform — including signals, analyses, confidence scores, or any other output — constitutes personalized investment advice. All trading activity occurs on your own brokerage account, through your own credentials, under your own direction. You remain solely responsible for your trading decisions.
3. Eligibility
To use RogueAlpha, you must:
- —Be at least 18 years of age
- —Be a resident of the United States
- —Hold a valid Alpaca brokerage account
- —Have received a beta invitation from RogueAlpha
- —Agree to these Terms
RogueAlpha is currently in closed beta. Access is invite-only and may be revoked at any time.
4. Beta Status
The Platform is in active development. During the closed beta:
- —All trading is conducted on Alpaca paper trading accounts only. No real money is traded during this period.
- —Features, behavior, and outputs may change without notice.
- —The service may be interrupted, modified, or terminated at any time.
- —You may experience bugs, errors, or unexpected behavior.
We will do our best to communicate material changes, but you use the beta platform with the understanding that stability is not guaranteed.
5. Risk Disclaimer
Trading involves substantial risk of loss. Please read this carefully.
- —Algorithmic trading strategies can and do lose money. Past performance of any strategy — including RogueAlpha's — does not guarantee future results.
- —The AI engine that generates signals will be wrong. It will generate losing trades. It may misinterpret market conditions, news, or technical indicators.
- —Automated execution means trades can be placed quickly and without your real-time review. This can magnify losses as well as gains.
- —Market conditions can change rapidly in ways no software can fully anticipate.
- —Even during paper trading beta, the patterns and behaviors you observe may not reflect what would happen with real capital — slippage, liquidity, and emotional factors all change with real money.
6. Not Investment Advice
RogueAlpha provides software tools. Any signal, recommendation, confidence score, or analysis the Platform produces is the output of a computer program — not the advice of a licensed financial professional. You are responsible for understanding what the Platform is doing with your account. If you are unsure whether algorithmic trading is appropriate for your financial situation, consult a licensed financial adviser before proceeding.
7. Your Responsibilities
- —Protect your API credentials. You are responsible for the security of your Alpaca API keys. Do not share them. If you believe your credentials have been compromised, revoke them immediately through Alpaca.
- —Monitor your account. RogueAlpha automates trade execution, but you retain full responsibility for what happens in your brokerage account. Check your positions regularly.
- —Understand the risks. Do not use this Platform without understanding how algorithmic trading works and the risks involved.
- —Provide accurate information. Your account information must be accurate and up to date.
- —Comply with applicable law. You are responsible for complying with all applicable laws and brokerage terms in connection with your use of the Platform.
8. Prohibited Uses
You may not use RogueAlpha to:
- —Violate any applicable law or regulation, including securities laws
- —Attempt to gain unauthorized access to the Platform or any connected systems
- —Reverse engineer, decompile, or extract proprietary components of the Platform
- —Share your account access with others
- —Use the Platform in any way that could damage, disable, or impair it
- —Manipulate or interfere with market prices or trading activity
9. Intellectual Property
All content, code, algorithms, designs, and materials on the Platform are owned by or licensed to RogueAlpha. You receive a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose during your beta access period. You do not acquire any ownership rights by using the Platform.
10. Limitation of Liability
To the fullest extent permitted by law, RogueAlpha and its operators, employees, and affiliates are not liable for:
- —Any trading losses incurred through use of the Platform
- —Losses resulting from system errors, downtime, or incorrect signals
- —Unauthorized access to your account or API credentials
- —Any indirect, incidental, consequential, or punitive damages
Our total liability to you for any claim arising out of your use of the Platform shall not exceed the amount you paid us in the twelve months preceding the claim. During the free beta period, that amount is zero.
11. Indemnification
You agree to defend, indemnify, and hold harmless RogueAlpha and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law.
12. Termination
We may suspend or terminate your access to RogueAlpha at any time, for any reason, with or without notice. You may also close your account at any time by contacting us at beta@roguealpha.ai. Upon termination, your right to use the Platform ends immediately. Provisions of these Terms that by their nature should survive termination (including risk disclaimers, limitation of liability, and indemnification) will do so.
13. Governing Law
These Terms are governed by the laws of the United States. Any disputes will be resolved in accordance with applicable federal law, without regard to conflict of law provisions.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Platform. Continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
